Extra Provincial / Federal Corporations and Cooperatives
Voluntary Cancellation
There are two ways to voluntarily cancel the registration of an extra provincial or federal entity in Manitoba:
- File an Application for Cancellation of Registration ($60.00).
- Cancellation List (no fee)
If the corporation is not carrying on its business or undertaking in Manitoba, submit a letter to Companies Office with the following details:- The name of the corporation, and
- Registry number, andÂ
- Statement that the corporation is not carrying on its business or undertaking in the province, and
- Statement requesting that Companies Office place the corporation on the next cancellation list.
Involuntary Cancellation
The registration of a corporation may be cancelled for failure to comply with The Corporations Act of Manitoba. Below is a brief overview of some reasons why Companies Office may cancel the registration of an extra provincial or federal corporation:
- Failure to file an annual return for two consecutive years (exceptions: British Columbia, Alberta, and Saskatchewan share corporations and cooperatives), or
- Failure to appoint a Power of Attorney, or
- Failure to comply with the limitations and conditions of its certificate of registration or supplementary certificate of registration, or
- Failure to comply with any requirement of The Corporations Act of Manitoba as to which no other procedure is prescribed.
To re-start a corporation:
- File a Request for Name Reservation if the registration of the corporation has been cancelled for more than 180 days.
- File an Application for Restoration with outstanding Annual Returns.
